Lillian Mbindyo is an experienced legal professional with over 20 years of experience in the financial industry and public sector.
Lillian Mbindyo holds an LLB and LLM from the University of Warwick and an MBA from Warwick Business School. She is an Advocate of the High Court of Kenya and a Certified Company Secretary.
She specialises in Capital Markets Laws, Company Law, Commercial Contracts, Intellectual Property Rights, International Agreements and Banking Law.
Lillian has a deep understanding of governance, business strategy, sustainability strategies and environmental law. She has served in executive positions as Head of Legal & Compliance and Company Secretary at the Nairobi Securities Exchange and SBG Securities Ltd, and as Group Company Secretary at Stanbic Bank Kenya Ltd and Stanbic Holdings Plc.
An innovative contributor and change agent, Lillian is recognised for her role in driving sustainable and innovative business and legal practices within the organisations she has served.
Lillian was legal counsel and a member of the lead transaction team for the divestiture of East African Breweries Ltd from Tanzania Breweries Ltd in 2011, representing EABL. She also prepared the project plan and regulatory compliance matrix to guide the contents of the Information Memorandum.
She was project manager for the regional expansion of SBG Securities Ltd in East Africa, establishing business branches in Rwanda and Uganda.
Lillian also participated with Stanbic Bank's investment banking team in Kenya's public-private-partnership annuity roads programme, supporting project financing for specific lots within the programme.
While at the Nairobi Securities Exchange, Lillian recommended and contributed to the development of a new listing category for small and medium-sized enterprises.
As a member of the Legal Sub-Committee for Demutualisation of the NSE, she drafted the initial Draft Bill of the proposed Demutualisation Act, as well as the new Memorandum and Articles of Association of the demutualised NSE.
During her tenure in the public sector, Lillian served as legal advisor to the Government of Kenya on several complex projects, including the negotiation of a USD 5 million loan from BADEA to finance a line of credit for the Industrial Development Bank in Kenya.
She also prepared legal opinions on project financing agreements between the Government of Kenya and KfW for the construction of geothermal turbines, advised on Safaricom's Initial Public Offer, and advised on the merger between CfC Bank and Stanbic Bank Kenya Ltd.
Lillian represented Kenya at The African Ministerial Conference on the Implementation of Principle 10 of the Rio Convention at the UNEP headquarters.
She played the lead role in establishing the Stanbic Kenya Foundation to drive corporate social initiatives and spearheaded the creation of the Social, Economic and Environmental Impact Framework for Stanbic Bank Kenya Limited.
Outside her legal profession, Lillian has a passion for and supports wildlife and environmental conservation.
